CEO Circle Terms & conditions (“Terms”) March 2025
These Terms set forth the terms on which Newsweek Publishing, LLC, a New York limited liability company with its principal place of business located at One World Trade Center, Floor 72, New York, NY (“Newsweek”) will provide you (“Member” or “You”) with membership of the Newsweek CEO Circle Membership Program (“Program”).
1. Membership Overview
1.1 By enrolling in the Program, You agree to abide by the terms set forth herein. The Program is designed to offer exclusive benefits to its members (“Membership Benefits”). These Terms outline the rights and obligations of both parties in relation to the Program and the Membership Benefits.
1.2 The Membership Benefits are comprised of various elements, as further detailed in paragraph 15 of these Terms.
1.3 Access to, and delivery, of the Membership Benefits may be dependent on collaboration between the parties and You will be required to undertake the completion of items that require Your attendance, as further detailed in paragraph 16.
1.4 If You are unable to cooperate or collaborate, it might affect the ability of Newsweek to deliver one or more of the Membership Benefits.
1.5 Membership is subject to approval by Newsweek.
2. Term, Pricing and Payment Terms
2.1 Program membership (“Membership”) is offered for a twelve (12) month period commencing on the date that the Fee is received by Newsweek (“Term”).
2.2 The Silver Tier, Gold Tier, and Platinum Tier membership fee’s are respectively $4,995, $9,995 or $19,995 (each, and individually, the “Fee”). The Fee is non-refundable and due within 28 days of Newsweek’s issue of an invoice.
2.3 Membership does not automatically renew, and You will be required to renew Membership at the end of the Term.
2.4 All Membership Benefits cease at the end of the Term and no further use of the Membership Benefits should be made by a Member.
2.5 No refund of the Fee shall be made, in part or in whole, if Membership Benefits (either collectively or individually) are unable to be delivered by Newsweek due to insufficient cooperation from a Member.
3. Purchase Terms
3.1 By registering for the Program, You agree to pay the Fee.
3.2 Payment of the Fee must be made in accordance with the terms provided on the invoice.
3.3 Memberships are personal and non-transferable.
4. Termination, Cancellation and Refund Policy
4.1 Newsweek reserves the right to terminate Membership at any time where, in Newsweek’s sole opinion, You have brought the Program, Newsweek or Yourself into disrepute.
4.2 You must notify Newsweek as soon as practicable in the event Your employment circumstances change in any material way, and You confirm that any such change may, at the sole discretion of Newsweek result in the termination of Membership.
4.3 You may cancel Membership at any time.
4.4 Cancellation or termination of the Agreement in accordance with any of the terms of this paragraph 4 will not entitle You to a refund of the Fee, either in full or in part.
5. Name, Image and Video Rights.
5.1 You grant to Newsweek a royalty free, non-exclusive, license for the Term to use Your name, image likeness (including photographic, illustrative, video and digitally rendered) and professional profile, for the purpose of delivering the Membership Benefits, the Program and Newsweek obligations under the terms of this Agreement.
5.2 You grant Newsweek the right to publish Your name, headshot, biography and Company’s name and logo, in their correct and current forms, on the Program website and other marketing materials for the purpose of identifying you as a member of the Program.
5.2 Newsweek reserve the right to photograph, record and videotape any event in which You attend or in which you participate. You agree that by attending or participating in an event, you grant Newsweek, and its respective affiliates and successors an exclusive, transferable, worldwide, fully paid-up, royalty-free, perpetual, irrevocable, sub-licensable right and license to use your name, photograph, image, voice and biographical information in such photography, recordings or videotapes and to use, publicly perform, display, translate, adapt, reproduce, and/or create derivative works from such photography, recordings or videotapes in any and all media or technology, now known or later developed, in any manner, in whole or part, with or without attribution.
6. Intellectual Property
All content produced as part of the Program, including but not limited to content comprising or derived from the Membership Benefits remains the intellectual property of Newsweek. You are granted a limited, non-exclusive, royalty-free, non-transferable license to use the Member Badge (as supplied by Newsweek) during the term of Your membership. Members may not use Newsweek’s trademarks, logos, or any other intellectual property without express written permission from Newsweek. You may not reproduce, distribute, modify, or create derivative works from any content provided by Newsweek without prior written consent.
7. Disclaimer of Warranties.
Under no circumstances shall Newsweek be responsible for any loss or damage resulting in any way in connection with the Member Benefits, including, without limitation, any Member Benefits available through third-parties, attendance at an event or from the conduct of any others, whether online or offline. Moreover, You agree that your access to, and use of, the Member Benefits is on an “as-is”, “as available” basis and Newsweek specifically disclaim any representations or warranties, express or implied, including, without limitation, any representations or warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, Newsweek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or related to Your Membership or the Program. Newsweek’s total liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the amount of the Fee.
9. Indemnification
You agree to indemnify, defend, and hold harmless Newsweek, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with Membership or your use of the Membership Benefits.
10. Dispute Resolution and Arbitration
Any dispute arising out of or relating to this agreement or your membership in the Program shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (“Arbitration”). Arbitration will be conducted in New York, New York, and judgment on the Arbitration award may be entered into any court having jurisdiction thereof. You waive any rights to a trial by jury and to participate in a class or consolidated action of any kind.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for the enforcement of any arbitration award.
12. Privacy and No Solicitation
Newsweek is committed to protecting your privacy. Any personal data collected in connection with Your membership will be used in accordance with Newsweek’s Privacy Policy. By enrolling in the Program, you consent to the collection, use, and sharing of your personal data as described in the Privacy Policy. You may not solicit any business from other Members or use any member information You may have access to for any purpose other than as set forth herein. Any violation of this policy may result in termination of Your membership at Newsweek’s sole discretion.
13. Amendments
Newsweek reserves the right to amend these Terms at any time. Any amendments will be effective upon posting the revised terms on https://ceocircle.newsweek.com. Your continued use of the Membership Benefits after such posting constitutes Your acceptance of any amended Terms.
14. Entire Agreement
14.1 These Terms constitute the entire agreement between You and Newsweek with respect to your Membership, the Program and the Membership Benefits, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
14.2 By registering for the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms.
15. Membership Tiers
15.1 Silver Tier Membership Benefits
Silver Membership Benefits are comprised of the following;
a) Executive Profile: an executive profile, written by professional Newsweek journalists (“Profile”). Profiles are structured/scripted in consultation with each Member and will be published on the Newsweek.com website, reaching a global audience of up to 50 million monthly readers; and
b) Exclusive Networking: Access to in-person and virtual events, connecting Members with other prominent leaders in their industry sector; and
c) Curated Insights: A weekly newsletter containing industry insights and a 12 month digital subscription to Newsweek.com.
d) CEO Members Badge: An exclusive digital badge for the exclusive use of Members.
15.2 Gold Tier Membership Benefits
Gold Membership Benefits are comprised of the Silver benefits, plus the following;
a) Premium Video Profile: A 3-5 minute video profile that members and Newsweek will work together to create (“Video”). Videos shall be published alongside members Profile on the Newsweek.com website; and
b) Full Written Interview: A Q&A format interview (“Interview”) designed to showcase members leadership philosophy, decision-making approach, and vision for the future of their industry. Published alongside the Video and Profile, providing a deeper dive into the members leadership journey; and
c) Thought Leadership: A personally authored piece to be published alongside the Interview, Profile and Video on the Newsweek.com website, allowing members to share their insights and industry perspectives to a global audience of 50 million monthly readers, positioning them as an influencer in their industry sector; and
d) Executive Dinner Series: An exclusive, invitation-only networking dinner bringing together top CEOs within a membership sector for intimate, off-the-record industry discussions, hosted and expertly moderated by a Newsweek editor; and
15.3 Platinum Tier Membership Benefits
Platinum Membership Benefits are comprised of the Silver and Gold benefits, plus the following;
a) Social Media Clips: Newsweek’s production team will edit and format clips taken from the Video, optimized for sharing across social media platforms to boost members social visibility.
b) Print Profile in Newsweek Magazine: The Profile will be showcased in the print edition of Newsweek magazine, amplifying a members visibility among an influential, global audience.
c) Enhanced Thought Leadership: Two personally authored pieces to be published alongside the Interview, Profile and Video on the Newsweek.com website, allowing members to share, and expand on, their insights and industry perspectives to a global audience of 50 million monthly reader, positioning the member as an influencer in their respective industry sector; and
d) Complimentary Newsweek Summit Ticket: A complimentary ticket to the exclusive Newsweek Summits (USD 4,000 value), where members will network with global leaders and visionaries in their industry sector
16. Required Member cooperation
Subject to Your tier of Membership and the Membership Benefits associated with that tier, You may be required to provide some, or all, of the following areas of cooperation;
16.1 The completion of the Profile will require You to provide certain professional information to Newsweek within 28 days of your joining the Program. In the event You have not provided this information within this timeframe, You consent to Newsweek compiling your Profile from publicly available information.
16.2 The completion of the Video and the Interview will require You to collaborate with Newsweek and to make dedicated time available in suitable surroundings (as to be mutually agreed between the parties) within 28 days of your joining the Program. In the event you have not provided this availability within that timeframe You acknowledge that you may forfeit your right to include the Video and/or the Interview as Membership Benefits. Whilst the Interview may be conducted remotely the Video will be produced in-person, unless subject only to the most extenuating circumstances, as determined by Newsweek.
16.3 The ‘Enhanced Thought Leadership’ benefit is dependent on you providing the personally authored pieces to Newsweek for publication. All material submitted to Newsweek for publication will be subject to Newsweek’s editorial approval and is published at Newsweek’s sole discretion.
